Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the Hostwares platform and services available at hostwares.com (“Service”). The Service is owned and operated by Hostwares LLC, a limited liability company formed in the State of Wyoming, USA (Entity ID: 2026-001999017, formed June 6, 2026).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account or use the Service. By using Hostwares, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration & Security

To use the Service, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and current registration information

Hostwares LLC is not liable for any loss resulting from unauthorized use of your account.

4. Services Description

Hostwares provides a cloud hosting and management platform, including but not limited to:

• Website hosting (containerized deployments)
• Managed databases (PostgreSQL, MySQL, MongoDB, Redis)
• AI credits and AI-powered DevOps assistant
• Domain registration and DNS management
• One-click service deployments (326+ services)
• cPanel hosting
• Custom server provisioning (VPS)
• SSL certificates

Specific features and availability may vary by plan. We reserve the right to modify, discontinue, or add features with reasonable notice.

5. Payment Terms

Billing Cycle: Services are billed on a monthly or annual cycle as selected at purchase. Your billing cycle begins on the date of your first payment.

Accepted Currencies: Payments are accepted in USD. Other currencies may be supported through our payment processors.

Payment Methods: We accept payments via PayPal, Stripe (credit/debit cards), Google Pay, bank transfer, and bKash.

Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged the then-current rate.

Failed Payments: If a payment fails, we will attempt to process it again within 3 days. After 3 failed attempts, your service may be suspended.

Grace Period: A 7-day grace period is provided after a failed payment before service suspension. During this time, you can update your payment method.

Taxes: Prices do not include applicable taxes. You are responsible for any taxes imposed on your purchases.

6. Refund & Cancellation Policy

Our complete refund policy is available at /refund-policy. Key points:

• You may cancel your subscription at any time from your dashboard
• Cancellation takes effect at the end of the current billing period
• Pro-rated refunds are available for eligible services within 7 days
• Domain registrations are non-refundable per ICANN policy
• Used AI credits are non-refundable

7. Acceptable Use Policy

You agree NOT to use the Service to:

• Host, distribute, or link to illegal content under US or international law
• Distribute malware, viruses, trojans, or other malicious software
• Perform cryptocurrency mining or similar resource-intensive operations without explicit authorization
• Send unsolicited bulk email (spam) or facilitate spam operations
• Launch or participate in DDoS attacks or network disruption
• Host phishing pages or engage in identity theft schemes
• Infringe on copyrights, trademarks, or other intellectual property rights
• Host adult content involving minors in any form
• Store or transmit content that exploits, harms, or endangers children
• Engage in fraud, money laundering, or financing of illegal activities
• Circumvent resource limits or abuse shared infrastructure
• Reverse-engineer, decompile, or attempt to extract source code of the platform

Violations may result in immediate suspension or termination without refund.

8. Resource Limits & Fair Use

Each plan includes specified resource allocations (CPU, RAM, storage, bandwidth). Usage is subject to fair use:

• Resources are allocated per container/service as described in your plan
• Excessive resource consumption that impacts other users may result in throttling or suspension
• We will notify you before taking action on fair use violations and provide a reasonable window to reduce usage
• “Unlimited” bandwidth is subject to a fair use threshold of 10x the median usage for your plan tier

9. Service Level Agreement (SLA)

Uptime Commitment: Hostwares commits to 99.9% uptime for paid services, measured monthly.

Credit Calculation: If we fail to meet this target:

• 99.0% – 99.9%: 10% credit of monthly fee
• 95.0% – 99.0%: 25% credit of monthly fee
• Below 95.0%: 50% credit of monthly fee

Exclusions: Scheduled maintenance (with 24h notice), force majeure, customer-caused issues, and third-party service outages are excluded.

Claims: Credit requests must be submitted within 30 days of the incident via support ticket.

Free tier services are provided on a best-effort basis without uptime guarantees.

10. Intellectual Property

Your Content: You retain all ownership rights to code, data, and content you deploy on Hostwares. We do not claim any intellectual property rights over your materials.

Our Platform: The Hostwares platform, including its design, code, features, documentation, and branding, is the intellectual property of Hostwares LLC. You may not copy, modify, or distribute any part of the platform.

Feedback: If you provide feedback or suggestions, we may use them without obligation to you.

11. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your data. By using the Service, you consent to data practices described therein.

12. Third-Party Services

The Service integrates with third-party providers. Your use of these integrations is subject to their respective terms:

• Coolify: Open-source deployment engine powering our hosting infrastructure
• PayPal: Payment processing (subject to PayPal User Agreement)
• Stripe: Payment processing (subject to Stripe Services Agreement)
• AI Providers (Anthropic): Powers our AI assistant features
• Hetzner: Server infrastructure provider
• Namecheap: Domain registration services

We are not responsible for the actions, content, or policies of third-party services.

13. Termination

By You: You may cancel your account at any time from your dashboard settings. Upon cancellation, your services will remain active until the end of the current billing period.

By Us: We may suspend or terminate your account for violations of these Terms. Unless the violation poses immediate risk (e.g., illegal content, active attacks), we will provide at least 7 days' written notice and an opportunity to remedy the violation.

Effect of Termination: Upon termination, your data will be retained for 30 days to allow retrieval, after which it will be permanently deleted. Outstanding invoices remain due.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind
• Hostwares LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim
• We are not liable for loss of data, revenue, profits, or business opportunities

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above limitations apply to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Hostwares LLC, its members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you host or deploy on the platform

16. Dispute Resolution

Binding Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered in the State of Wyoming, USA, in accordance with the rules of the American Arbitration Association.

Small Claims Exception: Either party may bring an individual action in small claims court if the dispute qualifies.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in a class action, class arbitration, or representative proceeding.

Informal Resolution: Before initiating arbitration, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

18. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or in-app notification before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Non-material changes (e.g., formatting, clarifications) may be made without notice.
